South Dakota LLCs are not required to file annual reports. - Ongoing Document Maintenance: Keep your operating agreement, membership records, and any contracts or resolutions current and properly documented. While these are internal documents rather than state filings, they are legally important for maintaining the formal separation between your business and personal affairs.
South Dakota Tax and Regulatory Considerations
South Dakota does not have a state income tax, corporate income tax, or franchise tax. This is one of the most significant financial advantages of forming your LLC in South Dakota. However, depending on your specific business activities, you may still be subject to:
- Sales tax obligations if you sell taxable goods or services in South Dakota
- Local business taxes in certain South Dakota cities and counties
- Federal income and self-employment tax obligations, which apply regardless of your state of formation
Maintaining Good Standing in South Dakota
