What does 'administratively cancelled' actually mean?

Administrative cancellation happens when a state formally removes your LLC's active status because a required filing — typically an annual report — was not submitted on time. It is not the same as voluntarily dissolving your business. Your LLC's name, formation history, and EIN remain on record, but the state no longer considers it active. Until you reinstate, your business cannot legally operate, sign contracts, or maintain its liability protections.

What's restored when you reinstate?

Reinstatement restores your LLC to full active status. Your original formation date, business name, EIN, contracts, and operating history are all preserved. You do not need to form a new entity or apply for a new EIN. Once the state processes the reinstatement, your business is treated as having been continuously active — banks, partners, and clients will see your LLC as in good standing.

How long does my state take to process a reinstatement?

Processing times vary by state, but most reinstatements are reflected in the public record within 5 to 10 business days after filing. We submit your reinstatement application the same business day your order is complete and keep you updated throughout. You will receive a confirmation email the moment the state posts your status change.

What if my LLC has been cancelled for several years?

Each state sets its own reinstatement window — the period during which you can bring a cancelled LLC back. If you are still within that window, reinstatement is possible regardless of how many years have passed. You will owe back fees and late penalties for each year the filing was missed, which we calculate and include in the submission. If your window has closed, reinstatement is no longer an option and a new LLC would need to be formed.
